Board Directorship Positions
DCB Bank, established in 2001, is a commercial bank and the first bank to be listed in the Dar es Salaam Stock Exchange. It is owned by the General Public Individuals and companies) (37.04%), un _ Asset management & Investor Services (6.91%); Umoja Unit Trust Scheme (13.08%); NHIF (5.9%), Dar-es-Salaam City council (10.07%), I1ala Municipal Council (9.37%), Kinondoni Municipal council (9.21%) and Temeke Municipal council (8,41%).
The Bank invites applications from suitably qualified Tanzanians of high personal integrity to apply for appointment as a Non-Executive Director of the Board (2 positions) to represent the General Public (Individuals and companies).
Requirements of a Board Director
A Board Directors must be an individual who has demonstrated significant achievements in business, education, the professions and/or public service. He/She must have the requisite intelligence, education and experience to make a significant contribution to the deliberations of the Board of Directors. In addition, the Board Director is expected to bring a broad range of experiences to the Board.
The Role of the Board Director
To determine the Bank's vision, mission and values.
To formulate, monitor and evaluate bank's policies and strategies.
To review on a regular basis the adequacy and integrity of the Bank's internal control, financial reporting, risk management and management information systems including compliance with applicable laws, regulations, rules and guidelines
To appoint and regularly review and evaluate the performance of the Managing -Director, Senior Management of the Bank.
To assess and evaluate the effectiveness of the Board performance, collectively and of individual directors.
To meet the obligation of accountability to Shareholders
Any other duties stipulated under the law.
Qualifications
The candidate must possess the following qualifications:
1. A holder of master degree with extensive experience of not less than five years with a proven track record in banking, accounting and economics.
2. Highest moral and ethical character. He or She must exhibit independence, objectivity and be capable of serving as a representative of the shareholders.
3. Personal qualities sufficient to make substantial active contributions to Board deliberations, these include intelligence, self-assuredness, a high ethical standard, inter-personal skills, independence, courage, a willingness to ask the difficult question, communication skills and commitment.
4. Willing to commit, as well as have, sufficient time available to discharge the duties of Board membership.
5. A member of a National Assembly or House of Representative or Local Authority is not eligible.
6. Must not have any criminal record or history of bankruptcy.
