Position: Head: Legal Counsel and Company Secretary
Reporting to: Managing Director

Purpose
To lead the Legal and Company Secretary Function in National Bank of Commerce limited (NBC). To support the Group's General Counsel in the identification and management of legal risk across NBC and to provide legal advice to the NBC Senior Leadership Team as necessary. To provide company secretarial support to the NBC Board of Directors and NBC executive committees.
Main Responsibilities
Contribute to the development of NBC and Group strategy through the identification of legal risk.
Develop and deliver strategic legal risk management initiatives.
Embed the Legal Key Risk Policies and the Group governance standards in the business.
Ensure that all aspects of legal risk are identified, covered and controlled in the implementation of new projects, systems, procedures and products for NBC.
Advise on legal and regulatory changes relevant to the business. Manage and control external legal resources in terms of cost and performance.
Manage the legal and company secretary budget.
Ensure compliance with the statutory obligations as set out in the Tanzanian companies legislation in addition to compliance with NBC's constitutional documents.
Ensure compliance with the Group Policy on Legal Entities and Directors. Channel for distributing and receiving information critical to Group's Corporate Secretariat functions as required.
Provide company secretarial service support to the NBC board and its sub-committees.
Provide governance advice to senior management within NBC. Monitor regulatory and statutory developments relating to Corporate Governance
Lead and develop an effective Legal and Company Secretarial Function; undertake performance reviews, setting performance measures and providing coaching and support.
Share know-how and experience within the team as well as the wider Group Legal function.
Training and support to the business on relevant legal risk issues and developments as appropriate.
Competencies:
Strong legal drafting skills.
People development and management experience. Excellent communication skills (writing and speaking). Commercial application of legal knowledge.
Drive to succeed in a challenging and changing environment
Qualification Law degree.
A lawyer qualified to practice in Tanzania or similar common law jurisdiction.
Any additional financial, regulatory or investment qualifications will be advantageous.
Experience:
At least 7 years post qualification experience, preferably working in a top commercial law firm or financial services institution.
Experience of working in a multinational, multi-segment environment with matrix reporting.
Remuneration:
Attractive salary including performance based bonus on achieving targets and overall business performance.
