Geita Gold Mine (GGM) is situated in the Lake Victoria gold fields of North Western Tanzania located just 4 km west of Geita Town and about 120 km South of Lake Victoria, Mwanza Region. The Mine is owned and managed by gold producing company, Anglo Gold Ashanti Limited.
GGM is looking to recruit a Legal Counsel who will be based in GGM’s Dar es Salaam office with regular travel to the GGM mine site. The purpose of this role is to ensure legal compliance of the company pertaining to all legal requirements and ensure corporate governance in line with regulatory requirements. The individual will be amongst others be accountable for the provision of legal advice and consultation to various in-country functions (in particular procurement, sustainability and HR), conducting and overseeing litigation, fulfilling company secretarial and compliance duties and ensuring that all aspects of work comply to Tanzanian legislative frameworks as well as Continental Africa Regional processes and policy frameworks.
The role holder has the following accountabilities and authorities in the overall context of Anglo Gold Ashanti’s Continental Africa Regional systems and processes, whilst working in Tanzania on the Geita Mine:
Duties will include, but are not limited to:
- Plan and execute legal services within the country infrastructure in response to country need and risk; in accordance global legal initiatives and with relevant supporting policies. Provide specialist legal support and advice to all the functional divisions in the Tanzania business unit (including procurement, human resources and sustainability functions).
- Applying expertise in contract negotiation, execution, and management of agreements and other legal documents for various in-country functions (in particular CAR procurement, CAR sustainability and CAR HR), as well in relation to litigation and HR related disputes.
- Monitoring the effectiveness of contract processes, act to remove obstacles to achieve progress, and make improvement suggestions to higher management of the function.
- Applying expertise to resolve contractual breaches.
- Fulfill company secretarial duties, including submission of filings to registrar general, coordinating Board meetings. Management and monitoring of Board agenda’s, Board packs, Board minutes and resolutions. Submission of accurate reports to CAR and Corporate.

- Reporting to the VP: Legal CAR in relation to various in-country legal matters, litigation, company secretarial and compliance issues and providing the necessary support as required.
- Assisting in the development of a legal governance framework for the business unit.
- Interaction with regulators and government functions (as appropriate).
- Conducting or supervising (where external counsel is appointed) all in-country litigation, including the preparation of pleading.
- Appointment and management of external legal counsel when required by the company.
- Implementation of relevant policies; improvement of policies so that they better fit the regional circumstances.
- Document regional performance to satisfy regional Excom, VP: Legal Continental Africa Region and Board governance requirements.
- Monitoring, influencing and assuring the health of function and assuring the quality of legal services in the country.
- Ensuring lessons learned and knowledge is available for others in the global team and embedded within the policies and processes of the business.

Desired Skills and Experience
Experience required:
- 5 – 8 years’ post qualification experience in the legal field, specifically having had the accountability to collate and analyse commercial business and labour contracts. Preferably having had to participate in a global company’s legal regimes and processes.
Education & Qualification:
- First Degree or Masters of Laws from a recognized University
- Admittance to the practice of Law in the United Republic of Tanzania
- Registered Attorney of Law
Other requirements:
- Able to understand the nature of the gold mining industry and to identify business risks.
- Detail orientated with a preference of checking data twice, before passing it on. Accuracy and quality will be extremely important.
- Able to travel and remain on site as and when required.
- Preference will be given to Tanzanian citizens.
