Overall purpose
Reporting to the Group Company Secretary, the successful candidate will be responsible for managing the provision of secretarial and governance services to all the KTDA managed factory companies and subsidiaries including ensuring that the compliance and statutory requirements expected of the companies are fulfilled.
Key Responsibilities
Manage the provision of company secretarial services to the KTDA MS managed factory companies, KTDA Holdings subsidiaries and associate companies.
Manage the shares portfolio of the KTDA managed companies (560,000 shareholders), including the respective share registers and administration of shares.
Manage the statutory requirements of the factory companies including calling for shareholder and board meetings within the statutory limits.
Overseeing the organization of the Annual General, Board and interdivisional management meetings, elections, filing of the statutory returns and accurate recording of the deliberations of proceedings.
Liaise with other departments in dealing with secretarial and governance matters of factory companies.
Qualifications/Skills/Experience
The ideal candidate must possess the following qualifications and competencies:-
Certified Public Secretary (CPS K).
Bachelor‘s degree in Law.
Diploma in Laws
Advocate of the High Court (Kenya).
Seven (7) years post qualification working experience as an Advocate,
Five (5) years post qualification working experience as a CPS in a senior management position of a medium/large institution. High level of integrity.
Excellent management and negotiation skills.
Excellent leadership skills.
Strong analytical and organization skills.
Excellent networking, interpersonal and communication skills.
